HCLTech Buys HPE Telco Solutions for $160M

HCLTech has signed a definitive agreement to acquire Hewlett Packard Enterprise’s telco solutions business for up to $160 million in cash. This includes $15 million in performance-linked incentives tied to FY25 results. The deal builds directly on HCLTech’s 2024 purchase of assets from HPE’s Communications Technology Group, which closed in December last year.

The acquisition adds key intellectual property, product engineering teams, R&D capabilities, and relationships with leading global communication service providers. HPE’s telco solutions currently support over one billion devices across more than 200 deployments worldwide. These capabilities enable operations support systems, home subscriber servers, 5G subscriber data management, and AI-led closed-loop network automation for better monetization.

Assets and Integration Progress

Nearly 1,500 engineering and telecom specialists from 39 countries will join HCLTech’s global delivery organization as part of the transaction. The 2024 CTG assets—focused on business support systems, network applications, service cloudification, and data intelligence—have already integrated into HCLTech operations. Those earlier acquisitions now show steady growth, setting the stage for this expansion.

HCLTech plans to use the combined portfolio to speed up network transformation for telecom operators. This covers network-as-a-service models, autonomous networking, cloudification, service orchestration, and AI-native networks. The company expects closure in about six months, subject to regulatory approvals and standard conditions.

Executive Perspectives and Market Positioning

Anil Ganjoo, HCLTech’s chief growth officer and global head of telecom, media, publishing, entertainment, and technology, called the move a step to empower carriers in shifting from telcos to techcos. He emphasized higher-value IP-led services and non-linear growth through the product-aligned model.

Rami Rahim, HPE’s executive vice president, president, and general manager of networking, said the deal lets HPE focus on core strengths while HCLTech builds on the telco solutions’ momentum. Both firms aim to drive telecom sector innovation through distinct paths.

India Telecom Context and Broader Impact

Indian operators like Reliance Jio and Bharti Airtel stand to benefit as they scale 5G and edge computing nationwide. HCLTech’s enhanced AI networking tools align with the push for sovereign infrastructure under data protection rules. The Noida-headquartered firm’s global scale, combined with strong engineering talent in India, positions it to lead in 5G modernization and beyond.

This transaction reinforces HCLTech’s telecom leadership. It extends a long partnership with HPE and taps into rising demand for efficient, AI-powered networks amid spectrum auctions and digital economy growth.
