Rashi Peripherals is moving into a new phase of growth with its planned acquisition of a controlling stake in VDA Infosolutions, a deal that signals a clear shift from distribution-led business to services-led enterprise technology. The transaction gives RP Tech a stronger foothold in cloud, cybersecurity, digital infrastructure and managed services, areas that are becoming increasingly central to enterprise IT spending in India.

The company will acquire 67 percent of VDA Infosolutions for INR 3.68 billion, valuing the enterprise solutions provider at INR 5.5 billion. More than a routine acquisition, the move broadens RP Tech’s business model at a time when customers are looking for partners who can do more than simply supply products. Enterprises now want deployment support, consulting, integration and long-term service delivery, and that is exactly where this deal appears to be aimed.

For a business built on scale, reach and channel strength, the addition of VDA creates a more complete enterprise offering. RP Tech already has one of the widest distribution networks in the country, but distribution alone is no longer enough in a market being reshaped by AI adoption, cloud migration and cybersecurity upgrades. By bringing in VDA, the company is positioning itself closer to the higher-value parts of the technology stack where margins, customer stickiness and recurring revenue are stronger.

VDA Infosolutions brings a very different capability set to the table. Founded in 2010, the company has built expertise across cloud infrastructure, storage, virtualisation, data protection, cybersecurity and modernisation projects. That matters because enterprises are increasingly buying outcomes rather than individual products.
